Terms of Service
1. Introduction and Acceptance
These Terms of Service ("Terms") govern access to and use of the SeenFR platform, website, and related services (collectively, the "Platform"), operated by SeenFR ("seenfr.official", "we", "us", or "our").
By creating an account, browsing, or otherwise using the Platform, you ("User", "you") agree to be bound by these Terms. If you do not agree, you must not use the Platform. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
The Platform has two categories of Users: "Creators" (individuals who create content and offer creator services) and "Marketers" (brands, agencies, or individuals seeking to engage Creators). Some provisions apply only to one category, as indicated.
2. Nature of the Platform: SeenFR is a Marketplace, Not a Party to Creator Engagements
This section is fundamental to your relationship with SeenFR and should be read carefully.
SeenFR operates a discovery and communication marketplace that connects Marketers with Creators. SeenFR:
- Does not employ, represent, manage, or act as an agent for any Creator;
- Does not employ, represent, or act as an agent for any Marketer;
- Is not a party to any agreement, arrangement, campaign, deliverable, payment, or dispute arising between a Creator and a Marketer;
- Does not vet, verify, guarantee, or take responsibility for the accuracy of any Creator's follower counts, engagement statistics, content quality, professionalism, or ability to deliver agreed work;
- Does not guarantee that any Marketer will pay a Creator, honor agreed rates, or act in good faith, and does not guarantee that any Creator will deliver agreed content, meet deadlines, or act in good faith;
- Does not review, endorse, or take responsibility for the content of communications, campaign briefs, deliverables, or any content created or exchanged between Users.
Any agreement regarding rates, deliverables, timelines, usage rights, or payment terms reached between a Creator and a Marketer (whether facilitated through the Platform's Campaign Tracker feature or otherwise) is a direct agreement between those two Users. SeenFR is not a party to, and assumes no liability arising from, that agreement.
Verified badges, profile completion indicators, and displayed statistics reflect information self-reported by Creators and/or data pulled from third-party platform APIs where available, and are provided for informational convenience only. SeenFR does not independently audit this data and makes no warranty as to its accuracy.
3. Eligibility
- You must be at least 18 years old to create an account on SeenFR. \[TBD: confirm minimum age policy; note KIV item on collecting DOB at Creator signup for age verification\]
- You must provide accurate, current, and complete information during registration and keep it updated.
- You must have the legal capacity to enter into a binding contract in your jurisdiction.
- Marketers must have authority to represent the brand or organization on whose behalf they are registering.
4. Accounts, Verification, and Security
Registration requires verification of both email address and phone number via one-time password (OTP). You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify SeenFR promptly of any unauthorized use.
SeenFR reserves the right to suspend or terminate accounts that provide false information, fail identity or phone verification, or are associated with fraudulent, abusive, or duplicate registrations (including circumvention of prior bans via new phone numbers or devices).
5. Creator Terms
5.1 Profile and Content
Creators are solely responsible for the accuracy of their profile information, including displayed social statistics, niche, location, and platform handles. Creators represent that they own or have the necessary rights to any content, images, or social media links they submit to the Platform.
5.2 No Guarantee of Engagement
SeenFR does not guarantee that any Marketer will unlock, contact, or engage a Creator's profile. Placement, visibility, and discovery are influenced by profile completeness and other factors at SeenFR's discretion, and may change over time.
5.3 Campaign Engagements
Where a Creator accepts a campaign invitation through the Platform's Campaign Tracker, the Creator is responsible for delivering agreed content in accordance with the terms agreed directly with the Marketer. SeenFR provides tools to track status and submissions but does not verify, approve, or guarantee the completeness or quality of submitted deliverables, and is not responsible for resolving disputes over deliverable quality, timeliness, or payment.
6. Marketer Terms
6.1 Credits and Subscriptions
Marketers access Creator contact details and full statistics by way of paid credits and/or an active subscription plan, as described on the Platform's pricing page and further governed by SeenFR's Billing Terms. Credits and unlocked access are subject to the terms of the applicable subscription tier, including expiry, renewal, and access-suspension rules described at checkout and in-app.
6.2 Conduct Toward Creators
Marketers agree to engage with Creators in good faith, including honoring agreed compensation and campaign terms reached directly with a Creator. SeenFR is not responsible for enforcing such agreements but reserves the right to suspend Marketer accounts found to have engaged in fraudulent, abusive, or exploitative conduct toward Creators, based on reports received.
6.3 Permitted Use of Creator Information
Information unlocked about a Creator (including contact details and statistics) may be used solely for the purpose of evaluating and engaging that Creator for legitimate marketing collaboration. Marketers may not resell, redistribute, scrape, or use unlocked Creator data for any purpose unrelated to engaging that Creator through the Platform.
7. Payments, Credits, and Refunds
- All payments are processed through a third-party payment processor, Stripe. SeenFR does not store full payment card details.
- Credits and subscription fees are billed in SGD, with localized currency display available at checkout for international payers.
- All credit purchases and subscription payments are final and non-refundable, except where required by applicable law. This includes unused credits, partially used subscription periods, and credits spent to unlock a profile regardless of subsequent outcome.
- Subscription plans auto-renew unless cancelled prior to the renewal date, in accordance with the billing cycle selected at signup.
- Failed payments resulting in a 'past due' status will follow the grace period and access-suspension rules described in-app.
8. Prohibited Conduct
Users must not:
- Provide false, misleading, or fraudulent information on their profile or during verification;
- Circumvent the Platform's credit/unlock system to access Creator contact details without payment;
- Harass, threaten, discriminate against, or send unsolicited commercial communications to other Users;
- Use the Platform to recruit Users for any purpose unrelated to legitimate creator marketing collaboration;
- Attempt to circumvent a ban through creation of duplicate accounts, including via different phone numbers or devices;
- Scrape, reverse-engineer, or use automated means to extract data from the Platform;
- Upload content that is unlawful, infringing, defamatory, or sexually exploitative of minors.
9. Intellectual Property
The Platform, including its design, software, and branding, is owned by SeenFR and protected by intellectual property laws. Users retain ownership of content they submit (profile content, campaign deliverables, messages) but grant SeenFR a limited, non-exclusive license to display, host, and process that content as necessary to operate the Platform.
10. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. SEENFR DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
SEENFR EXPRESSLY DISCLAIMS ANY RESPONSIBILITY FOR THE ACTIONS, CONTENT, OR OMISSIONS OF ANY CREATOR OR MARKETER, INCLUDING WITHOUT LIMITATION ANY FAILURE TO DELIVER AGREED CONTENT, FAILURE TO PAY AGREED COMPENSATION, MISREPRESENTATION OF STATISTICS OR CAPABILITIES, OR ANY DISPUTE ARISING BETWEEN USERS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEENFR AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR ANY DEALINGS WITH ANOTHER USER, WHETHER BASED ON CONTRACT, TORT, OR OTHERWISE, EVEN IF SEENFR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SEENFR'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO SEENFR IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) SGD 100.
*Note: some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages, so some of the above limitations may not apply to all Users depending on their location: this is a standard carve-out a lawyer will likely want to add explicitly per target market.*
12. Indemnification
You agree to indemnify, defend, and hold harmless SeenFR and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Platform; (b) your violation of these Terms; (c) your engagement, dealings, or disputes with another User, including any campaign, deliverable, or payment dispute; or (d) your violation of any third-party right, including intellectual property or privacy rights.
13. Suspension and Termination
SeenFR may suspend or terminate your account, with or without notice, for violation of these Terms, suspected fraud, non-payment, or conduct harmful to other Users or the Platform. You may close your account at any time via account settings, subject to any outstanding obligations (e.g. active campaign commitments, unresolved payments).
14. Reports and Enforcement
SeenFR provides in-app reporting tools for Users to flag suspected fraud, harassment, or Terms violations. SeenFR reviews reports at its discretion and may take enforcement action including warnings, suspension, or permanent bans (which may include phone number and device-level blocking to prevent circumvention). SeenFR is not obligated to take any specific enforcement action and does not guarantee resolution of disputes between Users.
15. Privacy
Our collection and use of personal data is described in our Privacy Policy \[LINK: to be finalized\], which forms part of these Terms by reference.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Singapore, without regard to conflict of law principles. Given SeenFR's Asia-wide User base, local consumer protection law in a User's home jurisdiction may in some cases apply to certain claims notwithstanding this choice of law.
17. Changes to These Terms
SeenFR may update these Terms from time to time. Material changes will be notified via the Platform or email prior to taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
